The agreement
By accepting a written price confirmation or quote for Orbiz, or by creating or administering an organisation on the platform, you agree to these terms on behalf of that organisation (you, the customer). The service is provided by Innovation Insight (we, us). Together with the privacy policy and the data processing agreement, these terms are the whole agreement unless we have signed something else with you.
What you get
- Access to every tool on the platform for your organisation, for an unlimited number of members, on the plan set out in your price confirmation or quote. The features and pricing pages describe what is included on the date you subscribe.
- An organisation of your own: its own subdomain, its own database, its own storage, and administration entirely in your hands — roles, permissions, which tools are switched on, who is invited.
- Support by email with a one-business-day response on the Team plan, and the named contact and response commitments set out in your agreement on the Enterprise plan.
- Improvements as we ship them. We add features continuously and we do not remove a capability your organisation relies on without notice and a reasonable alternative.
Fees
Fees are the price published on the pricing page for your headcount band on the date you subscribe, or, for the Enterprise plan, the price we quote. Either way the fee is confirmed in writing before your organisation goes live. It covers all tools and all members; inviting a member or enabling a tool does not change it. A change in your headcount band is discussed with you before it affects the fee, never applied silently. Invoices are payable within the period stated on them, and fees are exclusive of any applicable taxes.
If an invoice is overdue we will tell you and give you a reasonable period to pay before we suspend access. We never delete an organisation’s data over an unpaid invoice.
Your data
- Everything your organisation puts into the platform is yours. We take no licence to it beyond what is needed to run the service for you, and we never use it to build products for other customers.
- You are responsible for having the right to record the data you record — about employees, candidates and clients — and for how your members use the tools.
- You can export your whole organisation at any time on request, and we delete it on request once you confirm the export is complete.
- We process personal data in your organisation only on your instructions, as set out in the data processing agreement.
Acceptable use
Use the platform for running your organisation. Do not use it to store or distribute unlawful content, to attack or probe the platform or other customers, to send unsolicited bulk email, to infringe anyone’s rights, or to monitor people in ways the law where they work does not permit. Activity screenshots and idle detection in AMS are features your organisation switches on; it is your responsibility to tell your members and to use them lawfully.
Public share links — a Grabr recording, a careers page — are yours to publish. What you publish through them is your responsibility.
A member may connect an AI assistant to Orbiz through Orbiz MCP. What the assistant does is done as that member, with that member’s permissions, and is recorded as such; the member and your organisation are responsible for it, and for the terms on which the assistant’s provider handles what it reads. Your organisation’s admins decide whether assistants may connect at all.
Availability, security and support
- We run the platform to be available continuously and we tell you about planned maintenance in advance. On the Team plan we make no contractual uptime commitment; on the Enterprise plan the agreed SLA applies.
- We protect your data as described on the security page: a database per organisation, a single authenticated gateway, encryption in transit and at rest, browser-side encryption for Vault, and audit logging.
- If we become aware of a breach affecting your organisation’s data we tell your administrators without undue delay, with what we know and what we are doing.
- We keep no copy of your Vault passphrases. If a member forgets theirs, recovery goes through the escrow flow your organisation’s admins control.
Ending the agreement
Either side may end the subscription at the end of the current billing period by giving written notice. We may suspend or end it earlier for a serious or persistent breach of these terms that is not remedied after notice. On ending, you have 30 days to request an export of your organisation, after which we delete it. Fees already paid for a period are not refunded unless we ended the agreement without cause.
Responsibility and liability
- We provide the platform with reasonable skill and care. Beyond that, and beyond what we have committed to in writing, the service is provided as is.
- Payroll, tax and statutory calculations in Ledgr follow the rules your organisation configures. We provide the engine and presets where we have verified them; you are responsible for the figures you enter and for the returns you file.
- Neither side is liable to the other for indirect or consequential loss. Our total liability to you in any twelve-month period is limited to the fees you paid us in that period, except for liability that the law does not allow to be limited, for a breach of the data processing agreement, or as your signed agreement states.
- You will not hold us responsible for claims arising from data your organisation recorded unlawfully or from your members’ misuse of the tools.
General
- We may update these terms. If a change reduces your rights or increases your obligations we tell your administrators by email at least 30 days before it takes effect; continuing to use the platform after that date is acceptance.
- Neither side may assign the agreement without the other’s consent, except to a successor of the whole business.
- These terms are governed by the laws of the jurisdiction in which the provider is incorporated, and disputes are subject to the courts of that jurisdiction, unless a signed agreement between us says otherwise.
- Notices to us go to orbiz-support@innovation-insight.com; notices to you go to your organisation’s administrators by email.
